Axis Bank is penalized by the Indian Competition Commission for failing to inform the regulator about a stake purchase.
Axis Bank was fined INR 40 lakh by the Competition Commission of India (CCI) for failing to notify the watchdog about its purchase of a stake in CSC e-Governance.
According to the CCI’s ruling, the transaction in question involved Axis Bank buying a 9.91% share in CSC e-Governance. The sale was completed in November 2020.
The judgment required Axis Bank to inform the fair trade authorities about the transaction. It didn’t succeed in doing so, though, and was therefore penalized.
The CCI stated that Axis Bank’s purchase of a share in CSC e-Governance was more than just an investment and could not be viewed as a normal component of the company’s activities.
The acquisition of AxisCSC e-Governance is not qualified for the benefits of Item 1 of Schedule I (combination regulation), and as a result, it is irrelevant whether the transaction resulted in the acquisition of control or not, according to the regulator.
The CCI decided that in this specific situation, it is not essential to establish whether the transaction resulted in the acquisition of control. As a result, the commission determined that Axis Bank had broken the rules pertaining to the acquisition of AxisCSC e-Governance.
According to the order, in order to be eligible for the benefits of combination, the acquirer cannot be a member of the board of directors, have the authority to appoint directors, or be involved in the management or affairs of the company whose shares or voting rights are being acquired.
However, Axis Bank had plans to obtain representation on the board of directors of the business and take part in its management or operations. The bank currently sits on the board of CSC e-Governance. As a result, the bank was no longer entitled to the benefits of the rules.
The order was issued on August 9 and gives Axis Bank 60 days from that date to pay the fine. The Ministry of Electronics and Information Technology established CSC e-Governance Services India Ltd to manage the common services center program’s implementation.
Axis Bank responded by issuing a statement that said, “The Competition Commission of India (CCI) vide its letter dated August 17, 2023, has imposed a penalty amounting to INR 40 lakhs under Section 43A of Competition Act, 2002,” as stated in a stock exchange filing on Friday.
